Inscribe Terms and Conditions

Introduction

Welcome to Inscribe (“we,” “us,” or “our”), a software application designed to secure data and intellectual property by documenting, labeling, classifying data, and managing encryption for files (“the Application”). These Terms and Conditions (“Terms”) govern your access to and use of Inscribe, including any services, features, or content provided through the Application. By accessing or using Inscribe, you (“you” or “User”) agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Application.

These Terms constitute a legally binding agreement between you and Inscribe, Inc., located at 108 Lakeland Ave, Dover, DE 19901, USA. If you are using Inscribe on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

1. Eligibility

To use Inscribe, you must:

  • Be at least 16 years of age. Inscribe is not intended for use by individuals under 16.
  • Have the legal capacity to enter into these Terms.
  • Comply with all applicable laws and regulations in your jurisdiction.

2. Account Registration and Responsibilities

2.1 Account Creation

To access certain features of Inscribe, you must create an account by providing accurate and complete information, including your name, email address, and a secure password. You may also provide optional information such as your organization’s name or phone number.

2.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials and encryption keys.
  • All activities conducted under your account, whether authorized or unauthorized.
  • Notifying us immediately at support@inscribeapp.com if you suspect unauthorized access to your account.

2.3 Account Restrictions

You may not:

  • Share your account credentials with others.
  • Use another User’s account without permission.
  • Create multiple accounts to circumvent usage limits or restrictions.

3. License and Use of the Application

3.1 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use Inscribe for personal or internal business purposes, as applicable to your subscription plan.

3.2 Restrictions

You may not:

  • Modify, reverse-engineer, decompile, or disassemble Inscribe or any part thereof.
  • Copy, distribute, or create derivative works of Inscribe without prior written consent.
  • Use Inscribe to store, process, or transmit illegal, harmful, or infringing content.
  • Attempt to gain unauthorized access to Inscribe or its systems.
  • Use Inscribe in a manner that violates applicable laws or third-party rights.

3.3 Updates and Modifications

We may update or modify Inscribe to improve functionality, enhance security, or comply with legal requirements. Such updates may occur automatically, and continued use of Inscribe constitutes acceptance of these updates.

4. User Content and Intellectual Property

4.1 Ownership

You retain ownership of all data, files, and intellectual property (“User Content”) you upload, process, or manage through Inscribe. We do not claim ownership of your User Content.

4.2 License to User Content

By using Inscribe, you grant us a worldwide, non-exclusive, royalty-free, limited license to access, store, and process your User Content (including file metadata) solely to provide and improve Inscribe’s services, such as documenting, labeling, classifying data, and managing encryption. This license terminates when you delete your User Content or account, except where retention is required for legal purposes.

4.3 Responsibility for User Content

You are solely responsible for:

  • Ensuring your User Content complies with applicable laws and does not infringe third-party rights.
  • Backing up your User Content. While Inscribe employs robust security measures, we are not liable for any loss or corruption of User Content.

4.4 Metadata

Inscribe collects and processes metadata about your User Content (e.g., file names, sizes, labels, classifications, encryption status) to enable its functionality. We do not access the content of your files unless explicitly authorized (e.g., for automated classification features).

5. Subscription Plans and Payments

5.1 Free and Paid Plans

Inscribe offers free and paid subscription plans. Free plans have limited usage quotas, while paid plans provide higher quotas and additional features. Details of subscription plans are available at https://inscribeapp.com/pricing.

5.2 Payment Terms

For paid plans:

  • You agree to provide accurate billing information through our third-party payment processor.
  • Subscription fees are billed in advance on a recurring basis (e.g., monthly or annually) and are non-refundable, except as required by law.
  • We may change subscription fees with prior notice. Continued use after fee changes constitutes acceptance of the new fees.

5.3 Termination of Subscription

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access until the end of the current billing period, and no further charges will apply.

6. Data Security and Encryption

Inscribe employs industry-standard security measures, including:

  • AES-256 encryption for data at rest and TLS 1.3 for data in transit.
  • Role-based access controls to limit access to authorized users.
  • Secure management of encryption keys, which remain under your control unless otherwise specified.

You are responsible for managing your encryption keys and ensuring the security of your devices and networks. We are not liable for unauthorized access resulting from your failure to secure your credentials or keys.

7. Prohibited Conduct

You agree not to:

  • Use Inscribe for illegal activities or to violate the rights of others.
  • Upload malicious code, viruses, or harmful content.
  • Interfere with or disrupt Inscribe’s functionality, servers, or networks.
  • Use Inscribe to send unsolicited communications (e.g., spam).
  • Misrepresent your identity or affiliation when using Inscribe.

8. Third-Party Integrations

Inscribe may allow integration with third-party services (e.g., cloud storage providers). You are responsible for reviewing the terms and privacy policies of these third-party services. We are not liable for any issues arising from your use of third-party integrations.

9. Termination

9.1 By You

You may terminate your account at any time by deleting it through the Application or contacting us at support@inscribeapp.com. Upon termination, your access to Inscribe will cease, and we will delete your personal information and User Content within 30 days, subject to legal retention obligations.

9.2 By Us

We may suspend or terminate your account or access to Inscribe if you:

  • Violate these Terms.
  • Engage in conduct that harms Inscribe, its users, or third parties.
  • Fail to pay applicable subscription fees.

We will provide reasonable notice of termination where feasible. Upon termination, your license to use Inscribe ends, and you must cease all use of the Application.

10. Intellectual Property of Inscribe

Inscribe, including its software, design, trademarks, and documentation, is owned by Inscribe, Inc. or its licensors and is protected by intellectual property laws. You may not use our trademarks, logos, or other proprietary materials without prior written consent.

11. Disclaimers

Inscribe is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that Inscribe will be uninterrupted, error-free, or free from security breaches.

12. Limitation of Liability

To the maximum extent permitted by law, Inscribe, Inc., its affiliates, and their respective officers, directors, employees, or agents will not be liable for:

  • Indirect, incidental, consequential, or punitive damages arising from your use of Inscribe.
  • Loss of data, profits, or business opportunities.
  • Any damages exceeding the amount paid by you for Inscribe in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Inscribe, Inc., its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys’ fees) arising from:

  • Your use of Inscribe.
  • Your violation of these Terms.
  • Your User Content or its infringement of third-party rights.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws principles.

14.2 Dispute Resolution

Any disputes arising from these Terms or your use of Inscribe will be resolved through binding arbitration in Dover, Delaware, under the rules of the American Arbitration Association. You waive the right to participate in class actions or class-wide arbitration. Notwithstanding the foregoing, either party may seek injunctive relief in a court of competent jurisdiction for matters involving intellectual property or confidentiality.

15. Changes to These Terms

We may update these Terms to reflect changes in Inscribe’s services or legal requirements. We will notify you of material changes via the Application or email. The “Last Updated” date at the top of these Terms indicates when they were last revised. Your continued use of Inscribe after changes constitutes acceptance of the updated Terms.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with the Inscribe Privacy Policy, constitute the entire agreement between you and Inscribe, Inc. regarding your use of the Application.

16.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

16.3 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
